This Master Services Agreement (“Agreement”) is entered into as of the Effective Date, by and between:
My Sports ID Card, a California corporation, with its principal office at [San Francisco, CA] (“My Sports ID Card”, “we”, “us”, or “our”); AND You (“Client”, “you”, or “your”)—which means any person or entity that creates an account, accesses, or uses My Sports ID Card’s website, platform, digital products or services, for themselves or on behalf of another person or entity (including parents/guardians on behalf of minors, or authorized representatives of teams, clubs, or schools).
My Sports ID Card and Client are sometimes referred to herein as a “Party” and collectively as the “Parties.”
1.1. Services
My Sports ID Card offers an online platform and related services, including but not limited to digital sports ID cards, NIL (Name, Image, and Likeness) tools, fundraising, e-commerce, and educational resources (“Services”).
1.2. Statements of Work (“SOW”)
Specific purchases, subscriptions, or engagements may be set forth in written order forms, subscription plans, or other Statements of Work, which detail services, deliverables, and applicable pricing; each SOW is governed by this Agreement.
1.3. Policies Incorporated
Your use is subject to our Privacy Policy, Acceptable Use Policy, and NIL Compliance Policy, each of which is incorporated into this Agreement by reference.
2.1. Age and Authority
Clients under 18 (or the age of majority in their location) may only use the Services with the consent and direct involvement of a parent or legal guardian. You represent that you have authority to enter into this Agreement for yourself or those you represent (e.g., minors, team members, or an organization).
2.2. Cooperation and Information
You will provide accurate, up-to-date information, cooperate with us as needed, and comply with applicable law (including child privacy and NIL laws, as applicable to your circumstances).
3.1. Fees
Fees for Services are described in applicable SOWs, order forms, or as published on the Platform. Unless stated otherwise, such fees are non-refundable.
3.2. Payment Terms
Payment is due within the timeframe listed at purchase or on each invoice. Late payments may be subject to a late fee of 1.5% per month or the maximum allowed by law.
3.3. Taxes
Fees are exclusive of taxes, which are your responsibility.
3.4. Fundraising & NIL Revenue Sharing
If your Services include fundraising or NIL activities, you agree to any applicable revenue share or payout schedule as specified in the SOW or published Platform policies.
4.1. Term
This Agreement remains in effect from acceptance and continues until terminated per this section.
4.2. Termination for Convenience
Either Party may terminate at any time with sixty (60) days’ written notice. Active SOWs remain in effect until their completion unless otherwise terminated in accordance with their terms.
4.3. Termination for Cause
Either Party may terminate immediately if the other materially breaches and does not cure such breach within thirty (30) days of written notice; My Sports ID Card may terminate immediately for breaches involving intellectual property, privacy, or use policy violations.
4.4. Effect of Termination
Upon termination: rights and Platform access cease; accrued fees remain payable; Client must cease using the Platform and (if required) delete or return all Confidential Information. Provisions on fees, intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.
“Confidential Information” means any non-public or proprietary information provided by one Party (“Disclosing Party”) to the other (“Receiving Party”), including pricing, plans, account data, trade secrets, personal data, or technical information.
6.1. My Sports ID Card IP
We retain all rights in and to the Platform and Services, including any updates, customizations, or modifications. You receive a limited, non-exclusive, non-transferable right to use the Services only during the applicable active SOW or subscription term.
6.2. Client Content and Data
You retain all rights in your submitted materials (including photos, stats, or personal data). You grant My Sports ID Card a non-exclusive, royalty-free license to use, modify, display, and distribute your content only as necessary to provide the Services. You warrant you have authority for all content you submit, including, for minors, as a parent or guardian (or as an authorized representative for teams, schools, etc.).
6.3. Feedback
You grant My Sports ID Card a perpetual, royalty-free right to use any suggestions or feedback you voluntarily provide.
You will defend and indemnify My Sports ID Card from claims arising out of: (a) your breach of this Agreement; (b) content you supply; (c) misuse of the Platform by you or those under your account, including minors or those you represent; or (d) violations of law.
We will defend and indemnify you against third-party claims that the Platform, as provided (not including your content or third-party content), directly infringes intellectual property rights, subject to your cooperation and prompt notice.
To the fullest extent permitted by law:
By registering, purchasing, or otherwise using the My Sports ID Card website, products, or services, you agree to the terms of this Master Services Agreement. If you use these Services on behalf of a minor, team, or organization, you confirm your legal authority to do so and agree this Agreement binds both you and those you represent.
